Onramp Bitcoin – E-Sign Consent

We have included annotations in italics to emphasize certain portions of this E-Sign Consent.  These annotations are not summaries, so please read everything to avoid activities that could result in the termination of your access to Onramp’s Services.

Onramp makes available to Clients the access and use of the Platform and related content and materials and Services (defined below) via the Website.  This E-Sign Consent allows us to communicate with you electronically.  Please read carefully.  By using Onramp’s services, you agree to the terms outlined in this Consent.  If you use Onramp on behalf of your company, your company agrees to them too. 

The Onramp Terms of Service (available here) (the “Terms of Service”) govern Client’s use of Onramp’s Services, this E-Sign Consent (the “Consent”), and any other terms, policies and guidelines applicable to the Services (as the term is defined in the Terms of Service).  Onramp may modify this Consent by posting a revised version on onrampbitcoin.com.  Capitalized terms without definitions shall have the meaning given to them in the Terms of Service. 

Onramp Bitcoin LLC and other affiliates with an “Onramp” name or brand (collectively, “Onramp”) and third-party service providers may need to provide Client with certain communications, notices, agreements, billing statements and disclosures in writing (“Communications”) regarding any Services Client applies for or obtains.  Client’s agreement to this Consent confirms Client’s ability and consent to receive Communications electronically from Onramp, rather than in paper form, and to the use of electronic signatures in Onramp’s relationship with Client.  If Client chooses not to agree to this Consent or withdraws their consent, Client may be restricted from using the Services.

Each Service may be provided through the Platform, website, mobile application or other internet interface (collectively, the “Interface”).  To use any Service, Client must consent to the use of electronic Communications, electronic records and electronic signatures.

Your consent applies to Communications related to any Service.

Client’s consent applies to Communications related to any Service provided by Onramp directly or through an Interface on Onramp’s behalf.  Communications include, but are not limited to:

(a) agreements and policies required to use the Services (e.g., this Consent, the Privacy Notice and other agreements or policies required to facilitate any Service);

(b) payment authorizations and transaction receipts or confirmations;

(c) all federal and state tax statements and documents (see below for more information); and

(d) any other document the law requires that Onramp provide to Client in writing.

Onramp may deliver Communications electronically and use electronic signatures.

In Onramp’s sole discretion, the Communications we provide to Client, or that Client signs or agrees to at Onramp’s request, may be in electronic form (“Electronic Records”).  Onramp may also use electronic signatures and obtain them from Client as part of Onramp’s transactions with Client.

Electronic Records may be delivered to Client in a variety of ways.  In some cases, Electronic Records may be delivered via email or through the Platform or Interface.  Client should print or download a copy of any electronic Communication for Client’s records, including this Consent.

Onramp may always deliver communications in paper.

Onramp may always, in its sole discretion, provide Client with any Communications in writing or send Communications to Client via the U.S. mail or other means of delivery, even if Client has chosen to receive Communications electronically.  Onramp may require any information Client provides, or any document Client signs, to be delivered in writing.

You may request paper copies of all electronic communications.

If Onramp provides an Electronic Record to Client, and Client desires a paper copy, Client must contact Onramp’s Customer Support at clientservices@onrampbitcoin.com and request a paper version by including (1) the subject line “Request Paper Copies,” (2) Client’s name and (3) a description of Client’s request.  Client may have to pay a fee for the paper copy.  If Client requests a paper copy, Onramp may treat such request as a withdrawal of this Consent.  See “You may withdraw your consent at any time to receive electronic communications at any time” below.

You may withdraw your consent to receive electronic communications at any time.

Client has the right to refuse to provide their consent or withdraw their consent at any time.  However, Client’s use of the Service is conditioned on Client’s consent to the use of electronic Communications as described in this Consent.  If Client refuses to provide their consent or withdraws their consent, Onramp will treat such refusal or withdrawal as a cancellation or termination of Client’s use of the Services and a closure of Client’s related account(s).

Client may withdraw their Consent by contacting Onramp’s customer support at clientservices@onrampbitcoin.com and including (1) the subject line “Withdraw Electronic Consent,” (2) Client’s name and (3) a statement that Client withdraws their consent under this Consent.  Client’s withdrawal of consent will become effective only after Onramp has had a reasonable opportunity to act upon it.

You may update your email address using the procedure below.

Client may request to update their email address by emailing Onramp’s customer support at clientservices@onrampbitcoin.com, and including (1) the subject line “Email Address Update,” and (2) Client’s name.   Upon receiving a request to update Client’s email address, Onramp will arrange a video verification session with the primary contact on file for the Client, via the primary contact’s email address.  If, after three business days, Onramp has not received a response from the primary email address listed on Client’s file, then Onramp will arrange a video verification session with the primary contact on file using an alternate email address.  Onramp will conduct the video verification session, cross-referencing the saved client onboarding video verification session, to read and receive confirmation from the Client of the intended email address update.  Onramp will record this video verification session.  After Onramp has verified the (i) identity of the person making such request as the primary contact for Client and (ii) authenticity of the email update request, Onramp will update the email address using the new email Client’s primary contact on file provided during the video verification session.  Notwithstanding the procedure outlined above, Onramp may decline to honor any email update request until it has received, in Onramp’s sole satisfaction, evidence of the authenticity of any such request.

You must meet certain system requirements to view and retain records of electronic communications.

To view and retain Electronic Records, Client will need:

  • Internet access and the most recent version of a supported internet browser;
  • The ability to access the Platform or the Interface;
  • A current version of a PDF reader;
  • A printer or other storage device;
  • An active email address; and
  • A computer or handheld device capable of supporting all of the requirements described above.

If Client uses a spam filter that blocks or re-routes emails from senders not listed in an email address book, Client must add clientservices@onrampbitcoin.com to their email address book. 

In some cases, Client may also need a specific brand or type of device that can support a particular software application, including an application intended for particular mobile or handheld devices.  Onramp will tell Client when this is the case.  By continuing to use electronic Communications after such notice, Client reaffirms their consent.

If Onramp changes these hardware or software requirements and that change creates a material risk that Client would not be able to access or retain their Electronic Records, Onramp will notify Client of the revised hardware or software requirements.

There are additional rules for “Tax Documents.”

The terms, conditions and disclosures above apply to the electronic delivery of tax documents related to the Services (“Tax Documents”), in addition to the following provisions:

  • Client is not required to receive Tax Documents electronically.  However, if Client does not elect to receive Tax Documents electronically, or withdraws their consent at any time, Onramp will be unable to provide Client with the Services.
  • Client’s election to receive Tax Documents electronically applies to any Tax Documents which Onramp is legally permitted to provide to Client now or at any time in the future until such time that Client withdraws their consent.
  • Withdrawal of consent to electronic delivery of Tax Documents will not affect Tax Documents previously provided electronically; such Tax Documents may continue to be provided electronically for the applicable posting period.
  • The electronic delivery of Tax Documents may be terminated at any time by Onramp.  Further, Onramp may make certain Tax Documents available electronically only for a limited time.
  • If Client needs to update any information relevant to electronic delivery of Tax Documents, Client may request that such information be updated through the procedures set forth above.
  • A description of the hardware and software required to access, print and retain Tax Documents is set forth above.
